RB 28/2006 Disclosure of shareholding

The Management Board of AmRest Holdings N.V. informs that on 21 July 2006 it was notified that as a result of a share acquisition settled on 12 July 2006, the funds managed by BZ WBK AIB TFI S.A. (TFI) became holders of 688,231 shares in AmRest Holdings N.V., which constitutes 5.10% of the Company’s inital capital and entitles them to 688,231 votes, i.e. 5.10% of the total number of votes at the Company’s General Meeting.

Prior to the acquisition, the funds managed by TFI held a total of 635,537 shares in AmRest Holdings N.V., which constituted 4.71% of the Company’s initial capital and entitled them to a total of 635,537 votes, i.e. 4.71% of the total number of votes at the Company’s General Meeting.

At the same time TFI informed that the management of its funds portfolio was outsourced to
BZ WBK AIB Asset Management S.A. (AM). Hence the AM’s notification of its customers  exceeding 5% of the total number of votes at AmRest General Meeting (described in the
RB 7/2006) included also the AmRest shares which were in possession of the TFI funds.
