RB 14/2006 The Shareholders Agreement with Talus Limited

The Management Board of AmRest Holdings N.V. would like to inform that on 19th of April 2006 AmRest Holdings N.V. and Talus Limited signed The Shareholders Agreement under which both parties shall establish a Company with the view to opening and operating the restaurants on the territory of Ukraine.

Talus Limited is the subsidiary company of Kazyrna Karta (“Royal Card”), the biggest restaurant company in Ukraine, operating since 1988 and currently running over 70 restaurants in the country.

AmRest Holdings N.V. will be the owner of 51% of shares and voting rights of the Company while Talus Limited will own remaining 49%. The partners agreed to contribute initially total of 2 mln USD of equity, each will contribute its shareholding proportion.

The conclusion of The Shareholders Agreement is subject to some conditions of which the major ones are the approval of the Supervisory Board of AmRest Holdings N.V., that shall have been obtained by AmRest Holdings N.V., and the approval of YUM Restaurants International LLC, as the franchisor of Pizza Hut and Kentucky Fried Chicken trade marks, that shall have been obtained by Talus Limited.

Through this Agreement AmRest Holdings N.V. continues its initial commitment in Ukraine and expects to enlarge its operations in this country.
