RB 40/2007 Disclosure of IRI shareholding
The Management Board of AmRest Holdings N.V. (“AmRest”, “Company”) informs that on 12th July 2007 it was notified that, as a result of the sale of 3,191,250, from 9th July 2007, International Restaurants Investments, LLC („IRI”) had cut down its share in the Company’s initial capital. Currently, IRI’s has 1,565,600 shares in AmRest which constitutes 11.60% of the Company’s inital capital and entitles it to 1,565,600 votes, i.e. 11.60% of the total number of votes at the Company’s General Meeting of Shareholders.
Prior to the sales, IRI held a total of 4,756,850 shares in AmRest, which constituted 35.24% of the Company’s initial capital and entitled it to a total of 4,756,850 votes, i.e. 35.24% of the total number of votes at the Company’s General Meeting of Shareholders.
At the same time IRI informed that the above mentioned shares were placed among institutional investors through an accelerated book-building process as according to IRI’s intention highlighted in RB 34/2007 dated 2nd July 2007.
IRI has arrangements in place which will in due course result in a series of block trades to Company insiders and Company’s new business partner disbursing IRI’s remaining stake in the Company. IRI expects that as a result of this transaction:
Henry McGovern, the founder and CEO, will increase his original stake of 7.65% and remain in possession of a 8.45% stake in Company’s share capital;
Don Kendall Sr., the founder and long-time former CEO of Pepsico, will decrease the stake in Company’s share capital to 0.80%;
Michael Tsetyin and affiliates, the former controlling shareholder of OOO Pizza Nord recently acquired by AmRest (RB 35/2007 dated 3rd July 2007), will increase his stake of 4.97% to 6.08% in Company’s share capital.
Both Don Kendall Sr. & Henry McGovern have agreed to a lock-up period of one year.
