RB 128/2015 Information on Candidate to AmRest Supervisory Board

The Management Board of AmRest Holdings SE (“AmRest”,”Issuer”) informs about receiving on August 5th, 2015 from one of the AmRest shareholders, Powszechne Towarzystwo Emerytalne PZU S.A. (“PTE PZU”), acting on behalf of Otwarty Fundusz Emerytalny PZU „Złota Jesień”, the notice of intention to nominate Mr. Krzysztof A. Rozen (“the Candidate”) as independent candidate to AmRest Supervisory Board during Extraordinary General Meeting on August 12th, 2015.

In the opinion of  PTE PZU the professional experience of the Candidate guarantees correct performance of duties of independent Supervisory Board member.

In accordance with the statement received from the Candidate, AmRest informs that Mr. Krzysztof A. Rozen performances outside the Issuer’s business are not competitive towards the business of the Issuer and the Candidate does not participate in a competitive company as a partner in a registered partnership or other types of partnership, a member of the governing bodies in a corporate organization and does not participate in another competitive legal person as a member of its governing bodies. Mr. Rozen is not listed in the Insolvent Debtor Register kept in accordance of the Law on National Court Register.
