RB 67/2017 Disposal of AmRest shares related to the exercise of stock options plan

In regards to RB 30/2017 dated 03.02.2017, RB 31/2017 dated 07.02.2017, RB 32/2017 dated 08.02.2017, RB 33/2017 dated 09.02.2017, RB 34/2017 dated 10.02.2017, RB 35/2017 dated 10.02.2017, RB 37/2017 dated 15.02.2017, RB 38/2017 dated 16.02.2017, RB 39/2017 dated 17.02.2017, RB 40/2017 dated 21.02.2017, RB 41/2017 dated 22.02.2017, RB 44/2017 dated 18.02.2017 the Management Board of AmRest Holdings SE (“AmRest”, “the Company”) informs that on April 3rd, 2017 the Company disposed 22 287 own shares to entitled participants of the stock options plan. The settlement date of the transaction was April 3rd, 2017.

The detailed information regarding the transaction:

1) The price of sold shares: PLN 0.00. The shares were transferred free of charge as a result of exercising 32 120 options (460 granted at the price of PLN 70.00, 300 granted at the price of PLN 81.00, 320 granted at the price of PLN 81.82, 30 720 granted at the price of PLN 102.79 and 320 granted at the price of PLN 130.90), that were settled at the intrinsic value in accordance with a settlement method described in p. 7.1 a) of Employee Stock Option Plan Rules adopted by resolution no 3/11/2014 of the Supervisory Board of AmRest Holdings SE of November 20th, 2014 and p. 7.1 of Management Incentive Plan Rules adopted by resolution no 5/04/2015 of the Supervisory Board of AmRest Holdings SE of April 20th, 2015.

2) The nominal value: EUR 0.01 for each share,

3) The total number of shares sold by AmRest represents 0.1051% of the Company’s registered capital being 22 287 votes on the AGM of AmRest,

4) After the transactions AmRest owned 20 499 of its own shares, 20 499 votes on the AGM of AmRest, being 0.0966% in the total number of votes.
