RB 30/2011 Information on Candidate to AmRest Supervisory Board

The Management Board of AmRest Holdings SE (“AmRest”,”Issuer”) informs about the motion received on June 7th 2011 from a shareholder Henry McGovern to re-elect current Member of the Supervisory Board of AmRest Jan Sykora (“the Candidate”) to AmRest Supervisory Board during Ordinary General Shareholders’ Meeting on June 10th 2011. The candidacy is supported by the Supervisory Board of AmRest.

Jan Sykora is Chairman of the Board of Directors of Wood & Company Financial Services, leading Central European fully integrated investment bank. Before joining Wood & Company, Jan Sykora was a business consultant with Ameritech International in 1994 when he advised in relation to the first phase of the bidding process for SPT Telecom. Between 1991 and 1993, Jan Sykora worked part-time as an assistant to the Director of the Anglo-American Business Institute, Inc. During the same period he also acted as a tourist service consultant and started his own business to advise travel companies. Jan Sykora serves as the Chairman of its Trading Committee of Prague Stock Exchange, , a Director of Autoguide Group, a Member of the Young President’s Association. The Candidate gained a bachelor of business administration degree from the Prague University of Economics, a master of business administration from the Rochester Institute of Technology (Prague Campus) and a master of economics degree from the Czech Ministry of Education.

In accordance with the statement received from the candidate, AmRest informs that Jan Sykora’ performances outside the Issuer’s business are  not  competitive towards the business of the Issuer and the Candidate does not  participate in a competitive company as a partner in a registered partnership or other types of partnership, a member of the governing bodies in a corporate organization and does not participate in another competitive legal person as a member of its governing bodies. Jan Sykora is not listed in the Insolvent Debtor Register kept in accordance of the Law on National Court Register.
