RB 23/2009 Information on change of the candidate to AmRest Supervisory Board

The Management Board of AmRest Holdings SE (“AmRest”,”Issuer”) informs about the motion received from one of the AmRest shareholders, BZ WBK AIB Asset Management S.A. (“BZ WBK AIB AM”), with its registered head office in Poznan, to change previous motion regarding candidate to Supervisory Board of AmRest. BZ WBK AIB AM replaced previous candidate with Mr. Leszek Kasperski (“Candidate”) to be designated during Ordinary General Shareholders’ Meeting on May 22nd  2009.

Change of the motion is followed by the expertise of Mr. Leszek Kasperski that, in consideration of BZ WBK AIB AM, is more proper for a Company’s Supervisory Board Member.

Mr. Leszek Kasperski is a graduate of University of Economics in Katowice. Has been involved with financial institutions since 1997 starting at Pioneer Pierwsze Polskie Towarzystwo Funduszy Inwestycyjnych S.A. In March 1998 was employeed by BZ WBK AIB Towarzystwo Funduszy Inwestycyjnych S.A. as Marketing Director. Mr. Leszek Kasperski was also a member of the Managemt Board of BZ WBK AIB Towarzystwo Funduszy Inwestycyjnych S.A. and Sales and Marketing Director (06/2001-05/2008). In 2004 was appointed a member of the Management Board of BZ WBK AIB Asset Management S.A where officiated also as Sales and Marketing Director (2004-05/2008). Recently, Mr. Kasperski was a Sales and Marketing Director and Vice-President of IVO Software Sp. z o.o. (07/2008-03/2009).

The Candidated also informed that his performances outside the Issuer’s business were  not  competitive towards the business of the Issuer, and did not participate in a competitive company as a partner in a registered partnership or other types of partnership, a member of the governing bodies in a corporate organization, and did not participate in another competitive legal person as a member of its governing bodies. Mr. Leszek Kasperski is not listed in the Insolvent Debtor Register kept in accordance of the Law on National Court Register.
