RB 22/2009 Information on Candidate to AmRest Supervisory Board
The Management Board of AmRest Holdings SE (“AmRest”,”Issuer”) informs about the motion received on April 21st 2009 from one of the AmRest shareholders, BZ WBK AIB Asset Management S.A., with its registered head office in Poznan, to appoint
Mr. Krzysztof Kaczmarczyk (“Candidate”) to AmRest Supervisory Board during Ordinary General Shareholders’ Meeting on May 22nd 2009.
Mr. Krzysztof Kaczmarczyk is currently a Director of Strategy and Business Development Department of TP S.A. (since 11/2008) and a member of Supervisory Board of GRAAL S.A. (sine 6/2006), Polish Energy Partners (sine 1/2007), Wirtualna Polska (since 10/2008), Emitel (since 10/2008), TP Exploris (since 10/2008). Prior to that Mr. Krzysztof Kaczmarczyk officiated as an Advisor of Strategy and Business Development President of TP S.A. (9/2008–10/2008), Vice-Director of Market Analysis Department of Deutsche Bank Securities (10/2007–4/2008), Market Analyst – CEE Markets of Deutsche Bank Securities (2/2002 – 9/2007) and Assistant of Market Analyst of Deutsche Morgan Grenfell/Deutsche Bank (5/1999–2/2002). Furthermore, Mr. Krzysztof Kaczmarczyk was a President of Supervisory Board of 4 Fun TV (4/2007-9/2008).
Mr. Krzysztof Kaczmarczyk educational background includes studies at Warsaw School of Economics and participation in CFA program, level II. In accordance with the statement received from the candidate AmRest informs that Mr. Krzysztof Kaczmarczyk’ performances outside the Issuer’s business are not competitive towards the business of the Issuer, and the Candidate does not participate in a competitive company as a partner in a registered partnership or other types of partnership, a member of the governing bodies in a corporate organization, and does not participate in another competitive legal person as a member of its governing bodies, Mr. Krzysztof Kaczmarczyk is not listed in the Insolvent Debtor Register kept in accordance of the Law on National Court Register.
