RB 21/2008 Disclosure of Shareholding ING Nationale - Nederlanden Polska OFE

The Management Board of AmRest Holdings N.V. (“AmRest”) informs that on 4 April 2008 it was notified that as a result of a share acquisition settled on 3 July 2007, ING Nationale - Nederlanden Polska OFE (“ING NN Polska OFE”) became holder of 1 420 392 shares in AmRest, which constitutes 10.02% of the Company’s inital capital and entitles them to 1 420 392 votes, i.e. 10.02% of the total number of votes at the Company’s Meeting of Shareholders.

Prior to the acquisition, ING NN Polska OFE held 1 405 329 shares in AmRest, which constituted 9.92% of the Company’s initial capital and entitled them to 1 405 329 votes, i.e. 9.92% of the total number of votes at the Company’s Meeting of Shareholders.

At the same time ING NN Polska OFE informed, that “(…) within 12 months ING NN Polska OFE does not exclude either increase or decrease of AmRest shareholding, depending on the market conditions and the Company’s performance. The goal of the shares acquisition was the investment of the resources of ING NN Polska OFE.”
