RB 129/2015 Information on Candidate to AmRest Supervisory Board

The Management Board of AmRest Holdings SE (“AmRest”, “the Company”,”Issuer”) informs that in relation to the Extraordinary General Meeting convened for August 12th, 2015 one of the Company’s shareholders, Aviva Otwarty Fundusz Emerytalny Aviva BZ WBK proposed on August 7th, 2015 the candidacy of Mrs. Zofia Dzik (“the Candidate”) for an independent member of AmRest Supervisory Board.

The biography of the Candidate is attached to the regulatory announcement.

In accordance with the statement received from the Candidate, AmRest informs that Mrs. Zofia Dzik performances outside the Issuer’s business are not competitive towards the business of the Issuer and the Candidate does not participate in a competitive company as a partner in a registered partnership or other types of partnership, a member of the governing bodies in a corporate organization and does not participate in another competitive legal person as a member of its governing bodies. Mrs. Dzik is not listed in the Insolvent Debtor Register kept in accordance of the Law on National Court Register. The Candidate also declared, that she meets all the criteria required for the independent member of the Supervisory Board.
