RB 119/2016 Disposal of AmRest shares related to the exercise of stock options plan
In regards to RB 81/2016 dated 28.06.2016, RB 82/2016 dated 29.06.2016, RB 84/2016 dated 30.06.2016, RB 87/2016 dated 05.07.2016, RB 88/2016 dated 06.07.2016, RB 89/2016 dated 07.07.2016, RB 91/2016 dated 08.07.2016, RB 92/2016 dated 08.07.2016, RB 94/2016 dated 12.07.2016, RB 95/2016 dated 13.07.2016, RB 97/2016 dated 14.07.2016, RB 98/2016 dated 14.07.2016 and RB 103/2016 dated 16.07.2016, the Management Board of AmRest Holdings SE (“AmRest”, “the Company”) informs that on September 20th, 2016 the Company disposed 18 908 own shares to entitled participants of the incentive management stock options plan. The settlement date of the transaction was September 20th, 2016.
The detailed information regarding the transaction:
1) The price of sold shares:
- PLN 92.60 – 18 387 shares,
- PLN 0.00 – 521 shares. The shares were transferred free of charge as a result of exercising 750 options (200 granted at the price of PLN 70.00, 320 granted at the price of PLN 78.00, 150g ranted at the price of PLN 81.00 and 80 granted at the price of PLN 81.82), that were settled at the intrinsic value in accordance with a settlement method described in p. 7.1 a) of Employee Stock Option Plan Rules adopted by resolution no 3/11/2014 of the Supervisory Board of AmRest Holdings SE of November 20th, 2014 and p. 7.1 of Management Incentive Plan Rules adopted by resolution no 5/04/2015 of the Supervisory Board of AmRest Holdings SE of April 20th, 2015.
2) The nominal value: EUR 0.01 for each share,
3) The total number of shares sold by AmRest represents 0.0891% of the Company’s registered capital being 18 908 votes on the AGM of AmRest,
4) After the transactions AmRest owns 3 829 of its own shares, 3 829 votes on the AGM of AmRest, being 0.0180% in the total number of votes.
