RB 52/2008 Disclosure of Shareholding ING OFE – 12.88%

The Management Board of AmRest Holdings N.V. (“AmRest”) informs that on 30 June 2008 it was notified that as a result of a share acquisition settled on 24 June 2008, ING Otwary Fundusz Emerytalny (“ING OFE”) became holder of 1 827 032 shares in AmRest, which constitutes 12.88% of the Company’s initial capital and entitles them to 1 827 032 votes, i.e. 12.88% of the total number of votes at the Company’s Meeting of Shareholders.

ING OFE is a current new name of the fund, which has been in force since 4 April 2008 – formerly: ING Nationale-Nederlanden Polska OFE.

Prior to the acquisition, ING OFE held 1 677 850 shares in AmRest, which constituted 11.83% of the Company’s initial capital and entitled them to 1 677 850 votes, i.e. 11.83% of the total number of votes at the Company’s Meeting of Shareholders.

At the same time ING OFE informed, that “(…) within 12 months ING OFE does not exclude either increase or decrease of AmRest shareholding, depending on the market conditions and the Company’s performance. The goal of the shares acquisition was the investment of the resources of ING OFE, within its investment activity.”
