RB 35/2008 Disclosure of Shareholding BZ WBK AIB TFI – 10.07%

The Management Board of AmRest Holdings N.V. (“AmRest”) informs that on 29 May 2008 it was notified that as a result of a share acquisition settled on 26 May 2008, the funds managed by BZ WBK AIB TFI S.A. (“BZ WBK TFI”) became holders of a total of 1 428 853 shares in AmRest, which constitutes 10.07% of the Company’s inital capital and entitles them to 1 428 853 votes, i.e. 10.07% of the total number of votes at the Company’s Meeting of Shareholders.

Prior to the acquisition, the funds managed by BZ WBK TFI held a total of 1 404 030 shares in AmRest, which constituted 9.90% of the Company’s initial capital and entitled to a total of 1 404 030 votes, i.e. 9.90% of the total number of votes at the Company’s Meeting of Shareholders.

At the same time BZ WBK TFI. informed that “(…) within 12 months following the disclosure the funds managed by BZ WBK TFI may possibly either increase or decrease their capital commitment in AmRest. Eventual decisions concerning purchasing or selling the Company’s shares will depend on the Company’s situation, the assessment of this situation and market conditions. The decision concerning the purchase or sale of the Company’s shares will be also impacted by the value of assets of funds managed by BZ WBK TFI.”
