RB 19/2008 Final Agreements with Fast Food Restaurants Group

The Management Board of AmRest Holdings N.V. (“AmRest”), with reference to RB 66/2007 dated 29 October 2007, informs that AmRest signed the final agreements, the Asset Purchase Agreement and the Termination Fee Agreement, regarding 5 Rostik’s–KFC restaurants operated by OOO Fast Food Restaurants Group (“FFRG”) in Russia.

The total transaction price including both agreements amounts to USD 6.15 million. The Termination Fee Agreement assumes that the amounts regarding particular restaurants will be made through separate escrow account and final payments will be released once the lease rights, regarding particular restaurants, are transferred from FFRG to AmRest. The Company will fully control these restaurants once these rights are actually transferred.
