RB 101/2016 Statement of the Management Board regarding the call for the sale of shares of AmRest Holdings SE

The Management Board of AmRest Holdings SE (“AmRest”, the “Company”) acting in accordance with Art. 80 Sec. 1 and 3 of the Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies presents in the form of an attachment to this report, the Statement of the Management Board of AmRestregarding the call for the sale of shares of the Company announced by FCapital Dutch B.V. on July 12th, 2016 (“Tender Offer”).

In addition, the Management Board presents an opinion of an external entity, KPMG Advisory sp. z o.o. Sp. k., on the price of AmRest shares in the Tender Offer.
